Terms of Service & Dispute Policy

1. Acceptance of Terms
By creating an account or using ProCure (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
2. Role of ProCure — Marketplace Only
ProCure is a neutral marketplace and technology platform. We connect homeowners with independent contractors. We are not a party to any agreement, contract, or transaction between a Homeowner and a Contractor. We do not provide construction, contracting, design, engineering, inspection, or any other professional services.
3. No Endorsement; No Verification of Licensing or Insurance
ProCure does not employ, recommend, endorse, or guarantee any Contractor or Homeowner. ProCure does not independently verify licensing, insurance, certifications, background, qualifications, identity, or work quality. Users are solely responsible for performing their own due diligence before entering into any agreement.
4. Disputes Are Between Homeowner and Contractor
Any dispute arising out of or related to a job, bid, scope of work, workmanship, defects, delays, damages, or payment shall be resolved directly between those two parties. ProCure is not responsible for mediating, arbitrating, investigating, refunding, or otherwise resolving such disputes.
5. Payments and Platform Service Fee
ProCure facilitates payments through Stripe. A non-refundable platform service fee is added to each Homeowner-to-Contractor transaction.
6. Sealed Bids and Communications
Bids are visible only to the Homeowner who posted the job and the Contractor who submitted the bid until awarded.
6A. Non-Circumvention
Homeowners and Contractors introduced through the Platform agree to transact for that project exclusively through ProCure. A user who circumvents the Platform shall pay a bypass fee equal to twenty percent (20%) of the gross contract value.
7. NO WARRANTIES
The platform is provided "as is" and "as available" without warranties of any kind.
8. LIMITATION OF LIABILITY
ProCure's total aggregate liability to any user shall not exceed the greater of total platform service fees paid in the six months preceding the claim, or one hundred U.S. dollars ($100).
10. Binding Arbitration; Class Action Waiver
Any dispute between you and ProCure shall be resolved by final and binding individual arbitration administered by JAMS in the State of Delaware, U.S.A. You waive any right to a jury trial or class action.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, U.S.A.
